Public Offer Agreement

Provider/Seller: Limited Liability Company “Algoticon” (ALGOTICON LLC), Unified State Register code (EDRPOU) 46001398, registered address: 12 Saperne Pole St., Office 1014, Kyiv, 01042, Ukraine, support/legal e-mail: legal@algoticon.com, website: https://finticon.com (the “Provider”). The Provider is not a VAT payer in Ukraine.
This document is a public offer agreement addressed to an unlimited number of persons to receive access to the Provider’s online service(s) and/or digital content under the terms set out herein. Acceptance of this Offer occurs when the Customer performs any acceptance action specified below. Upon acceptance, an electronic agreement is deemed concluded between the Provider and the accepting person (the “Customer”).
1. Definitions
Service means the FINTICON software-as-a-service (SaaS) platform provided online on a subscription basis.
Digital Content / Licenses means non-tangible content, access keys, analytical modules, documentation and other licensed materials provided by the Provider.
Account means the Customer’s account created on the Service.
Terms not defined herein shall have the meaning assigned by the laws of Ukraine.
2. Subject and Scope; Customer Categories
2.1. The Provider grants the Customer access to the Service and/or Digital Content under the selected paid plan; the Customer accepts and pays for such services.
2.2. The Service is provided to consumers (B2C) and business customers (B2B) internationally. Mandatory consumer protection rules of the Customer’s state may apply to the minimum extent required by law. B2B use is not subject to consumer provisions.
2.3. Features, tariff plans, limits and technical requirements are published on the website and form an integral part of this Offer.
3. Offer and Acceptance; Electronic Form
3.1. Publication of this text on the website constitutes a public offer.
3.2. The Customer accepts the Offer by any of the following actions: (a) ticking a checkbox “I agree with the Offer and the Privacy Policy” and clicking “Pay/Place Order”; (b) paying an invoice/order; (c) confirming by a one-time code (if applicable); (d) explicitly confirming consent within the interface prior to first use.
3.3. The Parties agree that the actions in 3.2 constitute the Customer’s electronic signature. The Provider maintains technical logs (timestamp, IP address, user-agent, order/account ID, Offer version) as evidence of contract conclusion.
4. Registration and Account
4.1. To use the Service the Customer registers an Account, provides accurate information and keeps it up to date.
4.2. The Customer is responsible for safeguarding access credentials and for all activities under the Account.
5. Prices, Subscription Plans and Payment
5.1. Available subscription terms: 1 month, 3 months, 6 months, 12 months. Fees are shown on the pricing page/checkout in the applicable currency.
5.2. Payments are accepted by bank cards via integrated payment service providers. Any payment system fees may be borne by the Customer according to the provider’s rules and will be displayed at checkout where applicable.
5.3. The Provider is not a VAT payer in Ukraine. If taxes/levies are required in the Customer’s jurisdiction (by law or payment provider rules), they may be charged additionally and displayed at checkout.
5.4. Auto-renewal. Subscriptions renew automatically for the same term unless cancelled in advance. The Customer may cancel at any time in the Account (Subscriptions menu) or by contacting support through the website before the next charge date. After cancellation the access remains active until the end of the already paid period.
5.5. Upon request, B2B Customers may receive electronic invoices/acts and/or sign with a qualified e-signature where applicable.
6. Provision of Access / Digital Content
6.1. Access to the paid plan is granted immediately or after payment confirmation by activating the plan in the Account.
6.2. Availability targets, technical requirements and limits (e.g., API quotas) are described in the plan descriptions/documentation.
7. Withdrawal and Refunds (Distance Contracts)
7.1. For digital services/content, the Customer provides explicit consent at checkout to start provision before the expiry of the 14-day withdrawal period and acknowledges that the right of withdrawal may be lost once access is granted, to the extent permitted by mandatory law. The Provider does not offer voluntary refunds (beyond what is required by law).
7.2. If mandatory consumer rules of the Customer’s country prescribe other procedures, such rules apply to the minimum extent required by law.
7.3. Procedure: the Customer submits a request to legal@algoticon.com indicating order details. Any refund due under applicable law will be made using the same means of payment unless otherwise agreed.
8. Intellectual Property and Licence
8.1. The Customer is granted a non-exclusive, non-transferable licence to use the Service within the scope of the paid plan and its functionality. Reverse engineering, public distribution, sharing access with third parties, circumventing technical restrictions, and reselling without the Provider’s prior written consent are prohibited.
9. Disclaimers and Liability
9.1. The Service is provided “as is”, unless expressly stated otherwise in an applicable SLA/plan. The Provider is not liable for failures of third parties (hosting, payment providers, telecoms), for data loss caused by the Customer, or for indirect, incidental or consequential damages and loss of profit.
9.2. The Provider’s aggregate liability to the Customer for any and all claims is limited to the fees paid by the Customer for the relevant service in the last 1 (one) month, unless mandatory law provides otherwise.
10. Personal Data and Communications
10.1. Personal data are processed in accordance with the Privacy Policy (as published on the website) and applicable law. By accepting this Offer the Customer consents to processing of personal data for performance of the Agreement and related communications.
10.2. Marketing/service messages are sent subject to the Customer’s consent with an opt-out link in each message and/or settings in the Account.
11. Force Majeure
11.1. The Parties are released from liability for the period of force majeure, including war, large-scale cyberattacks, blackouts, blockades, acts of authorities and other events beyond reasonable control, confirmed by competent authorities or infrastructure operators.
12. Changes to the Offer
12.1. The Provider may amend this Offer, tariff plans and annexes by publishing a new version on the website indicating the version/date. For existing paid subscriptions, any change that materially worsens the Customer’s position applies from the next billing period, unless the Customer cancels the subscription before that date.
13. Term and Termination
13.1. This Agreement takes effect upon acceptance and remains in force until termination by either Party, expiry of the paid period, or in other cases provided herein and by law.
13.2. The Provider may suspend/terminate access in case of a material breach (unauthorised access, IP infringement, overdue payment beyond the permitted grace period, etc.) with prior notice to the Customer where reasonably possible given the nature of the breach.
14. Dispute Resolution; Governing Law and Jurisdiction
14.1. Disputes shall be settled amicably, starting with a claim procedure: the Customer submits a claim to legal@algoticon.com, and the Provider provides a written response within 30 (thirty) calendar days of receipt.
14.2. Failing settlement, disputes are subject to the courts of Kyiv, Ukraine, under the laws of Ukraine, unless mandatory law provides otherwise.
15. Language
15.1. This Agreement is executed in the Ukrainian language. Translations (including this English version) may be provided for convenience; in case of discrepancies the Ukrainian version prevails.
